Cool post by Ben Edwards on how the SEC commissioners have changed their disclaimers in speeches, likely due to the Ripple litigation:

Well, here I am now on mastodon.social, having migrated from home.social. Many thanks to @annmlipton and @design_law for pointers to

https://fedi.tips/transferring-your-mastodon-account-to-another-server/

which worked perfectly -- the total time to migrate was under 5 minutes.

Not sure why @home.social is shutting down, but so long, server, it was great while it lasted.

@annmlipton@esq.social avatar

@jciv @design_law It's a real weakness of the fediverse. Servers are run by volunteers, and volunteers get tired and burn out.

So the National Association of Manufacturers is arguing before the 5th Circuit that Rule 14a-8 is unconstitutional compelled speech:

"This week, DeSantis’s Twitter handle was changed from 'RonDeSantisFL' to the more nationally friendly 'RonDeSantis.' The previous owner of 'RonDeSantis' was Ronald Louis DeSantis, a Realtor in California who died in 2020. His account, created in 2009, is now 'rondeSantis__1.' So either the Florida governor’s team reached out to his estate and managed to coordinate a swap — or Twitter facilitated the transfer."

If the US defaults, what should one use as a proxy for the risk-free rate?

annmlipton,
@annmlipton@esq.social avatar

@jciv I posed that question to my M&A students this year :-)

annmlipton,
@annmlipton@esq.social avatar

@jciv Oh it was really more to raise the issue, not actually proposing solutions.

As with DeSantis and Disney, CEOs really need to understand just how much the GOP proposes to use state power to interfere with corporate marketing decisions:

Musk loses his Second Circuit appeal to escape his Twitter-sitter; my favorite part is that this opinion issued days after oral argument (may 11), that's how frivolous this was

I highlight in this column we see another example of how non shareholder constituencies -workers - use disclosures intended for shareholders. Information provided by public companies matters to the economy as a whole etc etc
