One thing to mention about Tesla's layoffs, especially in light of their earnings announcement forthcoming next week:

Resentful ex-employees are a valuable source of information for securities lawyers. And these days, I assume, short sellers with a whistleblower/expose model

Pausing in the middle of this WSJ long read on Amazon's efforts to gather intelligence on rival platforms to admire this sentence: "Some aspects were more Maxwell Smart than James Bond."

Anyway I need the IP people to tell me if there's a theft of trade secrets claim here and the contract people to tell me if there's a violation of the implied covenant of good faith.

And here we go - Tesla seeks to reincorporate in Texas, and for ratification of the 2018 pay package (teeing up a waste challenge)

In addition to the waste challenge, I expect about 300 billion 220 requests from Tesla SHs, not to mention perhaps interesting requests for clarification from the SEC.

Delaware SCt's grant of interlocutory review on TripAdvisor is well timed, but of course that will take months to resolve:

Look, I don't doubt Musk's ability to transfix investors but this is the fraught bit:

This is the wildest local news story I've been following. Dude is only candidate for coroner; wins. Turns out he had been charged w/ child sex assault in 2002 (dropped), so there were demands for him to step down.

And then out of nowhere -

I follow these things bc I have to and it's funny that every headline about an "analyst" is the same analyst and every headline about an "investor" is the same investor

It's not that I think they're wrong; just that reporters should start to ask - I have no idea! - if they're representative

I enjoyed the framing here: not just the table saw, but the broader question of the cost of regulation and rents individual companies can capture:

@jtlg Yes I know what it is. It's just as terrible. The program allows employees to direct the funds. Except if NCPPR disapproves. And just that group. HRC doesn't get to reject funding for conservative causes.
